FUNDS

In Mauritius, funds take on a multitude of structures, from investment companies to limited partnerships, trusts, protected cell companies, and variable capital companies (VCC). Under the Securities Act 2005, funds can either be open-ended with a variable share capital that fall under the Collective Investment Scheme category or Closed-End Fund with a fixed share capital, commonly known as private equity funds. Mauritius allows funds to be self-managed by their board of directors or to appoint a licensed CIS Manager, either locally or abroad.

The Variable Capital Company (VCC) structure enables Mauritius funds to carry out business through one or more sub-funds and special purpose vehicles, all housed within the same structure. The VCC can comprise of both Collective Investment Schemes and Closed-End Funds. A sub-fund of a VCC can also act as a feeder fund or a master fund.

Some of the benefits of a VCC include ring-fencing of the assets and liabilities of each sub-fund or SPV, cost efficiency, streamlining management and operations in one entity comprising separate units, flexibility regarding the distribution and payment of dividend out of capital rather than profits.

A fund may be directly incorporated or may be registered by way of continuation.

INVESTMENT DEALER

There are four main categories of investment dealer licences, each with specific permitted activities and capital requirements:

The Investment Dealer licence permits the holder to manage client portfolios, underwrite or distribute securities on behalf of an issuer, undertake brokerage services: including trading of securities.

INVESTMENT ADVISOR

Mauritius offers three main categories of investment adviser licences, each with specific permitted activities and capital requirements:

This licence authorises the holder to manage, under a mandate, portfolios of securities and give advice on securities transactions through printed materials or any other means. The Corporate Advisory licence relates to corporate raising through securities issuance and arrangement/restructuring of company: including takeovers, mergers and acquisitions in respect to the securities aspect.

The holder of an Investment Adviser (Unrestricted) licence may also seek approval from the FSC to be appointed as a Fund/CIS Manager for a Collective Investment Scheme (CIS) or a Closed-end Fund (CEF) established in Mauritius or a foreign jurisdiction.

Protected Cell Company

Protected Cell Companies (PCCs) in Mauritius offer a versatile corporate structure where legal safeguards protect each cell from the failures of others. PCCs find wide use among collective investment schemes, insurance companies, and private equity firms, offering benefits such as flexible initial asset segregation, cost efficiency, and regulatory compliance for a single legal entity.

A PCC may be directly incorporated or may be registered by way of continuation.

Payment intermediary services

Payment Intermediary Services (PIS) licence holders can offer merchant online services for accepting electronic payments allowing e-Commerce businesses, banks or other financial services providers to accept different types of payments via both traditional banking and digital means.

A Payment Intermediary Service Licence is issued by the Financial Services Commission (FSC) of Mauritius. In granting the licence, the FSC considers the fitness and propriety of shareholders, the experience of the team, the internal controls, risk management policy, IT infrastructure, cybersecurity management, disaster recovery and Business Continuity Plan.
